Terms of Service
These Terms of Service (hereinafter referred to as the "Terms") set forth the conditions for the use of the online shop (hereinafter referred to as the "Service") provided on this website by X'S Corporation (hereinafter referred to as the "Company"). Registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.
Article 1 (Applicability)
- These Terms shall apply to all relationships between the User and the Company regarding the use of the Service.
- The Company may establish various rules or supplementary provisions (hereinafter "Individual Provisions") regarding the Service. Regardless of their names, these shall form part of these Terms.
- If there is any conflict between these Terms and the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.
Article 2 (Registration)
- Registration is completed when an applicant agrees to the Terms, applies via the Company's designated method, and the Company notifies the applicant of its approval.
- The Company may decline an application for registration if it determines that any of the following applies, and shall be under no obligation to disclose the reasons:
- If false information was provided during application.
- If the applicant has previously violated these Terms.
- Any other cases where the Company deems registration inappropriate.
Article 3 (User ID and Password Management)
- Users shall manage their User ID and password at their own responsibility.
- Users may not transfer, lend, or share their User ID or password with any third party. If a login occurs with a matching ID and password, the Company will treat it as a use by the registered User.
- The Company shall not be liable for any damage caused by the use of a User ID or password by a third party, except in cases of intentional misconduct or gross negligence by the Company.
Article 4 (Purchase Agreement)
- A purchase agreement is established when a User applies to purchase a product and the Company sends a notice of acceptance. Ownership of the product transfers to the User when the Company delivers the product to the carrier.
- The Company may cancel the purchase agreement without prior notice if the User:
- Violates these Terms.
- Cannot be reached for delivery due to an unknown address or prolonged absence.
- Otherwise damages the relationship of trust with the Company.
- Payment, shipping, cancellations, and returns shall be handled according to methods separately defined by the Company.
Article 5 (Intellectual Property Rights)
Copyrights and other intellectual property rights for product photos and other content provided through the Service belong to the Company or legitimate right holders. Unauthorized reproduction, republication, or modification is prohibited.
Article 6 (Prohibited Actions)
Users shall not engage in the following:
- Acts violating laws or public order.
- Acts related to criminal activity.
- Infringing on the Company’s or third parties' intellectual property rights.
- Damaging or interfering with the Company's servers or networks.
- Commercial use of information obtained through the Service.
- Interfering with the operation of the Service.
- Unauthorized access or attempts thereof.
- Collecting personal information of other Users.
- Impersonating another User.
- Providing benefits to anti-social forces.
- Any other acts deemed inappropriate by the Company.
Article 7 (Suspension of Service)
- The Company may suspend or interrupt the Service without prior notice due to:
- System maintenance or updates.
- Force majeure (earthquake, fire, power outage, etc.).
- Accidental failure of computers or communication lines.
- Any other situation where providing the Service is difficult.
- The Company shall not be liable for any disadvantage or damage incurred by the User or third parties due to such suspension.
Article 8 (Restriction of Use and De-registration)
The Company may restrict a User’s access or delete their registration without notice if the User violates the Terms, provides false information, fails to pay fees, or remains inactive for a certain period. The Company is not liable for any damages resulting from these actions.
Article 9 (Withdrawal)
Users may withdraw from the Service through the prescribed withdrawal procedures.
Article 10 (Disclaimer of Warranties and Limitation of Liability)
- The Company does not guarantee that the Service is free from defects (including safety, reliability, accuracy, or security flaws).
- The Company shall not be liable for any damages incurred by the User through the Service, except as provided by the Consumer Contract Act of Japan. Even in such cases, the Company’s liability for damages caused by negligence (excluding gross negligence) shall be limited to direct and ordinary damages.
- The Company is not responsible for any transactions or disputes between Users and third parties.
Article 11 (Changes to Service)
The Company may change or discontinue the Service without notice and is not liable for any resulting damages.
Article 12 (Modification of Terms)
The Company may modify these Terms at any time without notice. Use of the Service after such modifications constitutes agreement to the updated Terms.
Article 13 (Personal Information)
The Company handles personal information in accordance with its "Privacy Policy."
Article 14 (Notification)
Notifications between the User and the Company shall be made via designated methods. Notifications sent to the currently registered contact information shall be deemed received at the time of transmission.
Article 15 (Prohibition of Transfer of Rights)
Users may not transfer or pledge their rights or obligations under these Terms to any third party without prior written consent from the Company.
Article 16 (Governing Law and Jurisdiction)
- These Terms shall be governed by and construed in accordance with the laws of Japan. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
- Any disputes regarding the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company’s headquarters.
